Uvio Business Terms of Service

These Terms of Service ("Terms") govern the use of the Uvio platform ("Platform") by business clients ("Client", "you") who register a company account to send notifications, events, and other communications to end users. By registering a company account or using the Platform's business features, you agree to be bound by these Terms.

1. Definitions

Platform — the Uvio service, including its API, web dashboard (uviolk), mobile applications, and associated infrastructure.

Client — a legal entity or individual entrepreneur that registers a company account on the Platform.

End Users — individuals who use Uvio mobile applications and may subscribe to Client communications.

Content — notifications, events, messages, and other materials published by the Client through the Platform.

2. Account Registration

2.1. To use business features, the Client must register a company account through the uviolk dashboard and provide accurate business information.

2.2. The Client is responsible for maintaining the confidentiality of API keys, service tokens, and account credentials.

2.3. The Client must promptly notify Uvio of any unauthorized use of their account.

3. Permitted Use

3.1. The Client may use the Platform to send notifications, publish events, broadcast messages, and deliver OTP codes to subscribed End Users.

3.2. The Client agrees to use the Platform only for lawful purposes and in compliance with applicable laws and regulations.

3.3. The Client shall not use the Platform to send spam, misleading content, or communications that violate the rights of third parties.

4. Content Responsibility

4.1. The Client is solely responsible for all Content published through the Platform.

4.2. The Client warrants that its Content does not violate any applicable laws, third-party rights, or these Terms.

4.3. Uvio reserves the right to remove Content or suspend the Client's account if Content violates these Terms or applicable law.

5. API Usage

5.1. The Client may access the Platform through the provided API subject to the rate limits and usage policies described in the API documentation.

5.2. The Client shall not attempt to circumvent rate limits, access controls, or other technical restrictions of the Platform.

5.3. Uvio may modify the API with reasonable advance notice to Clients.

6. Data Protection

6.1. The Client agrees to process End User data in compliance with the Privacy Policy and applicable data protection legislation.

6.2. The Client shall not collect, store, or process End User personal data obtained through the Platform beyond what is necessary for the stated purpose of their communications.

7. Service Availability

7.1. Uvio aims to provide continuous Platform availability but does not guarantee uninterrupted service.

7.2. Uvio may perform scheduled maintenance with reasonable advance notice.

7.3. Uvio shall not be liable for temporary service interruptions caused by maintenance, force majeure events, or circumstances beyond its reasonable control.

8. Limitation of Liability

8.1. Uvio provides the Platform "as is" without warranties of any kind, express or implied, to the maximum extent permitted by law.

8.2. Uvio shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Platform.

8.3. Uvio's total liability under these Terms shall not exceed the fees paid by the Client in the twelve months preceding the claim.

9. Termination

9.1. Either party may terminate these Terms with 30 days written notice.

9.2. Uvio may immediately suspend or terminate the Client's account for material breach of these Terms.

9.3. Upon termination, the Client's access to the Platform ceases and any outstanding obligations remain in effect.

10. Amendments

10.1. Uvio may update these Terms by publishing a new version. The Client will be notified of material changes at least 14 days in advance.

10.2. Continued use of the Platform after the effective date of updated Terms constitutes acceptance.

11. Governing Law

11.1. These Terms are governed by and construed in accordance with the laws of the Russian Federation.

11.2. Disputes arising under these Terms shall be resolved through negotiation, and if unsuccessful, by the competent courts at the location of Uvio.
